These Terms of Use govern your access to and use of the HUB01 platform,
the hub01.shop website, the HUB01 progressive web application, and any
related service we provide (together, the Platform).
The Platform is operated by HUB 01 PLATFORM, a sole establishment
licensed by the Dubai Department of Economy and Tourism under trade
licence 1560291, of Dubai, United Arab Emirates
(HUB01, we, us).
By creating an account or otherwise using the Platform you agree to these
Terms. If you do not agree, do not use the Platform. If you use the
Platform on behalf of a company, you confirm you are authorised to bind it.
HUB01 is in soft launch. Parts of the Platform described
in these Terms (live broadcasting, in-app chat, checkout and payouts) are
not yet switched on. These Terms are written for the full service so that
nothing changes underneath you when those features open. Anything not
presently available simply does not apply yet.
1. What HUB01 is

HUB01 is an online marketplace and live-commerce venue.
Independent sellers (Merchants) list goods,
broadcast live, and sell directly to buyers (Customers).

HUB01 is not the seller. Except where a listing states
that HUB01 is the seller, every contract of sale is formed directly
between the Customer and the Merchant. HUB01 provides the venue, the
technology and, where enabled, payment collection as the Merchant's
agent. HUB01 does not own, inspect, store, warrant or take title to any
item sold through the Platform.

HUB01 may itself sell items, run promotions, or feature Merchants.
Where it does, that is stated on the listing and HUB01 is the Merchant
for the purpose of these Terms.
2. Your account

You must be at least 18 years old, or the age of legal capacity in your
jurisdiction if that is higher, to hold an account.

You must give accurate information and keep it current. You are
responsible for everything that happens under your account and for
keeping your credentials confidential. Tell us immediately at
support@hub01.shop
if you believe your account has been compromised.

One person or entity, one account, unless we agree otherwise in
writing. Accounts are personal to you and may not be sold or
transferred.

Electronic acceptance. Ticking a box, clicking a
button marked to indicate agreement, or continuing to use the Platform
after we have notified you of a change constitutes your signature and
agreement for the purposes of Federal Decree-Law No. 46 of 2021 on
Electronic Transactions and Trust Services. We record the date, time,
IP address and document version of each acceptance.
3. Acceptable use

You agree to the Acceptable Use &
Prohibited Items Policy, which forms part of these Terms.

You must not: break any law of the United Arab Emirates or of any place
you use the Platform from; infringe anyone's intellectual property;
upload malware; scrape, probe, overload or reverse-engineer the
Platform; impersonate anyone; harass, threaten or abuse any other user;
or use the Platform to launder money or finance anything unlawful.

Content you broadcast or post must comply with UAE laws on content and
media, including Federal Decree-Law No. 34 of 2021 on Combatting
Rumours and Cybercrimes and Federal Decree-Law No. 2 of 2015 on
Combatting Discrimination and Hatred, and with the standards of the
Telecommunications and Digital Government Regulatory Authority (TDRA)
and the UAE Media Council. This includes material that offends public
morals, insults religion, or is defamatory.

HUB01 is a shopping platform, not a public square.
Political campaigning, religious proselytising, commentary on conflicts
or the affairs of any state, and the promotion of any cause,
organisation or movement are prohibited everywhere on the Platform,
in a listing, a store name, a profile, a broadcast or a chat message.

Sexual content, content involving children, violence, hate and
harassment are prohibited absolutely. The
Acceptable Use Policy
sets out what that means in practice, together with the consent rules
that apply to anyone appearing on a broadcast. Material that sexualises
a minor is reported to the police immediately and without notice.

We may monitor a live broadcast, review a recording, and act on a
report. Where we believe someone is at risk we act
immediately and without prior notice, and explain
afterwards.

We may remove content, suspend a broadcast, restrict features, or
suspend or close an account where we reasonably believe these Terms
have been broken, where we are required to by law or by a regulator, or
where continuing would expose HUB01 or its users to material risk. We
will tell you why, unless we are prohibited from doing so.
4. Live broadcasts and user content

You keep ownership of everything you upload, say or broadcast
(Your Content).

You grant HUB01 a non-exclusive, worldwide, royalty-free,
sub-licensable licence to host, store, reproduce, adapt for
format and bandwidth, transmit, display and distribute Your Content, for
as long as needed to operate, secure, promote and improve the Platform.
This licence lets us do the ordinary things a marketplace must do,
serve your listing, encode your stream, show a clip in an app-store
screenshot or a HUB01 advertisement, and keep a record for dispute
resolution and legal compliance.

You confirm you have all rights needed to grant that licence, including
the consent of anyone appearing in or heard in Your Content.

Live broadcasts and chat may be recorded and retained for safety,
dispute resolution and legal compliance. Assume anything you say on a
broadcast is on the record.

HUB01 does not pre-screen user content and is not obliged to. Report
anything that breaks these Terms and we will review it.
5. Orders, prices and payment

Prices are shown in UAE Dirhams (AED) and, unless stated otherwise, are
inclusive of VAT at the prevailing rate
(currently 5%) where the Merchant is
VAT-registered. A Merchant who is not VAT-registered sells at prices with
no VAT component; their listings say so.

A listing is an invitation to buy, not an offer. A contract is formed
when the Merchant accepts your order.

Where payment processing is enabled, payments are collected by our
payment provider. HUB01 does not store your full card number. Payment
is collected on the Merchant's behalf, and receipt by HUB01 discharges
your payment obligation to the Merchant.

Delivery charges are set by each Merchant by area and are shown before
you confirm an order.

We try to keep prices and stock accurate. Where an obvious pricing error
occurs, neither HUB01 nor the Merchant is obliged to fulfil at the wrong
price; we will cancel and refund in full instead.
6. Returns, refunds and consumer rights

The Returns, Refunds &
Cancellations Policy forms part of these Terms and sets the minimum
standard every Merchant must meet.

Nothing in these Terms limits any right you have as a consumer under
Federal Law No. 15 of 2020 on Consumer Protection and Cabinet Decision
No. 66 of 2023, or under any other law that cannot be excluded by
agreement. Where a term here conflicts with such a right, that right
prevails.
7. Intellectual property

The Platform, and the HUB01 name, logo, design system and software, are
owned by HUB01 or licensed to it. Nothing in these Terms transfers any
of it to you.

You are granted a limited, revocable, non-exclusive, non-transferable
licence to use the Platform for its intended purpose. You may not copy,
modify, decompile, create derivative works from, or resell any part of
it.

If you believe content on the Platform infringes your rights, write to
legal@hub01.shop with
enough detail to identify the content and your right in it. We remove
infringing material and may close the account of a repeat infringer.
8. Availability

The Platform is provided "as is" and "as available". We
do not promise it will be uninterrupted, error-free, or that any
broadcast will succeed.

We may change, suspend or withdraw any part of the Platform. Where a
change materially reduces what you get, we will give reasonable notice
unless the change is needed urgently for security or legal reasons.
9. Liability
Read this section. It limits what you can recover from HUB01.

HUB01 is not liable for the goods. Quality, safety,
legality, description, fitness, delivery and after-sales service are the
Merchant's responsibility. Your claim in respect of an item is against
the Merchant who sold it.

To the fullest extent permitted by law, HUB01 excludes all implied
warranties and is not liable for indirect, incidental, special,
consequential or punitive loss, or for loss of profit, revenue, goodwill,
data or anticipated savings, however arising.

Where HUB01 is nonetheless found liable to you, its total aggregate
liability arising out of or in connection with these Terms is limited to
the greater of (a) the total amount you paid through the Platform in the
three months before the event giving rise to the claim, and (b) AED
1,000.

Nothing in these Terms excludes or limits liability for death or
personal injury caused by negligence, for fraud or fraudulent
misrepresentation, or for anything else that cannot lawfully be excluded.

You indemnify HUB01, its officers and employees against any claim, loss,
liability, fine or reasonable legal cost arising out of your breach of
these Terms, your content, or your unlawful use of the Platform.
10. Privacy
The Privacy Policy
explains what personal data we collect and why, and forms part of these
Terms.
11. Suspension and closure

You may close your account at any time. Closure does not cancel orders
already placed, or obligations already incurred.

We may suspend or close your account on notice, or immediately where the
breach is serious, where we are legally required to, or where leaving it
open would risk harm to users or to HUB01.

Clauses that by their nature should survive termination, including
intellectual property, liability, indemnity, and governing law, do so.
12. Changes to these Terms
We may change these Terms. The version and date at the top of this page
always identify the current one. Where a change is material we will notify
account holders by email or in the app before it takes effect. Continuing
to use the Platform after that date means you accept the new version. Each
version remains available on request.
13. Governing law and disputes

These Terms are governed by the laws of the United Arab Emirates as
applied in the Emirate of Dubai.

The courts of Dubai have exclusive jurisdiction, save that HUB01 may
bring proceedings to protect its intellectual property in any competent
court.

Before starting proceedings, please contact
support@hub01.shop.
Most disputes are resolved faster that way, and a consumer may in any
event refer a complaint to the UAE Ministry of Economy's consumer
protection service or to the relevant Department of Economy and Tourism.
14. General
-
If any provision is held unenforceable, the rest stands and the
provision is read down to the minimum extent needed to make it valid.

A delay in enforcing a right is not a waiver of it.

These Terms, together with the policies they incorporate, are the whole
agreement between you and HUB01 about the Platform.

We may assign these Terms to a group company or in connection with a
sale of the business. You may not assign yours without our written
consent.

These Terms are written in English. Any translation is for convenience;
if there is a conflict, and to the extent permitted by law, the English
text governs.
